NOTICE IS HEREBY GIVEN that the DIRECTORS GUILD OF AMERICA, INC. (“DGA” or the “Secured Creditor”), pursuant to that certain security agreement and related documents (the “Security Documents”) executed by Music, War and Love, LLC (the “Debtor”), WILL SELL AT PUBLIC AUCTION to the highest qualified bidder, for cash or otherwise acceptable terms, all rights, title and interests of the Debtor and applicable successors in interest (if any), in and to the motion picture presently entitled “MUSIC, WAR AND LOVE” (the “Collateral”). The sale will be conducted pursuant to the California Commercial Code-Secured Transactions, Section 9610, and all other applicable laws of the State of California, on Friday, March 2, 2018, at 10:00 am, at the offices of Bush Gottlieb, a Law Corporation, Suite 950, 801 North Brand Boulevard, Glendale, CA 91203. The sale will be made as-is and where is, with all defects and faults, and without recourse, covenants, warranty, or representations, express or implied, to satisfy the current respective indebtedness and obligations of the Debtor to Secured Creditor under the Security Documents, an account of which is available to the Debtor. Secured Creditor cannot warrant what (if any) rights the Debtor may have in the Collateral, nor the accuracy or completeness of its information regarding the Collateral and the Debtor’s rights therein; prospective buyers should conduct their own investigation regarding the Collateral. The sale will be made subject to any existing security interests, as applicable, in favor of the Screen Actors Guild - American Federation of Television and Radio Artists and the Writers Guild of America West, Inc., and post-sale obligations, including but not limited to residuals payments accruing under applicable Guild collective bargaining agreements, may apply.
Secured Creditor reserves the right to withdraw any or all of the Collateral from the auction at any time and without notice, to postpone and re-notice the time and date of the auction by oral or written announcement, and/or to make credit bids at the sale or any continuance thereof. If competing offers with different terms and conditions are submitted, Secured Creditor will determine which offers will be accepted, and its decision in this regard shall be final. Secured Party reserves the right to adjourn the sale pending such determination.
Information presently available to the Secured Creditor pertaining to the Collateral has been assembled and will be available for inspection at the office of Bush Gottlieb on February 20, 2018, during the hours of 10:00 am to 5:00 pm, or by appointment. Each interested party must sign a confidentiality agreement as a precondition to reviewing these materials.
